These Terms constitute a binding agreement between you and AxioBionics, LLC and its affiliates and subsidiaries (“AxioBionics,” “we,” “us”). “You” and “users” shall mean all patients, health service providers, and their agents who use the AxioBionics Service. You accept these Terms by signing up for the AxioBionics Service, when you agree to them using our website at https://www.axiobionics.com, and each time you access the AxioBionics Service thereafter. If you do not accept these Terms, you must not use the AxioBionics Service. We may revise these Terms at any time by posting an updated version to this web page. You should visit this page periodically to review the most current Terms, because you are bound by them. Your continued use of the AxioBionics Service after a change to these Terms constitutes your binding acceptance of these Terms.

The “AxioBionics Service” is defined as any computer or mobile application or software under AxioBionics’ control, whether partial or otherwise, in connection with providing the services provided by AxioBionics, including the patient portal, intake forms, messaging, and payment processing. The AxioBionics Service provides a platform to store health-related information to make it available to you and authorized healthcare providers.

Medical Advice. AxioBionics does not give medical advice through its software platform. Information provided on our website about our products is for informational purposes only and does not constitute medical advice. Always consult with your healthcare provider regarding the appropriateness of any medical device or treatment plan.

Except as required by law and described below, you will not permit any third party to have access to the AxioBionics Service using your account. You may allow your employees or authorized representatives to use the AxioBionics Service on your behalf in compliance with these Terms. You are solely responsible for the use of the AxioBionics Service by your employees and authorized representatives. We have no liability for the consequences to you or your employees or patients from your or their use of the AxioBionics Service.

• You are responsible for your log-in credentials and for keeping your account information accurate.
• You are responsible for any activity resulting from the use of your log-in credentials on the AxioBionics Service.
• You represent and warrant that the information you provide to AxioBionics upon registration and at all other times will be true, accurate, current, and complete.
• As a registered user, you will have log-in information, including a username and password. Your account is personal to you, and you may not share your account and log-in information with, or allow access to your account by, any third party.
• You agree to notify us immediately of any breach in secrecy of your log-in information by contacting payments@axiobionics.com.

You represent and warrant that you have obtained the proper consents, authorizations, and releases from individuals to the fullest extent required by applicable law before posting their health-related information to the AxioBionics Service.

AxioBionics voluntarily complies with the requirements of the “Privacy Rule” and “Security Rule” as defined by Health Insurance Portability and Accountability Act (“HIPAA”) of 1996 and the Health Information Technology for Economic and Clinical Health Act (“HITECH Act”). We may use and disclose health-related information to provide our services. We may use de-identified health-related information as permitted by law.

We may use and process the health-related information posted to the AxioBionics Service for the proper management, provision, and administration of the AxioBionics Service and our business, and as required by law. We will use appropriate administrative, physical, and technical safeguards to prevent use or disclosure of health-related information other than as provided for by these Terms.

AxioBionics designs, manufactures, and fits innovative medical devices for people with conditions affecting the musculoskeletal and nervous systems, including Wearable Therapy™ systems, orthotic devices, and related solutions.

Payments for our products and services are processed through secure third-party payment processors, including Stripe. By making a payment through our website or patient portal, you agree to the terms and conditions of the applicable payment processor. Financing options, including Affirm, may be available for qualifying purchases and are subject to the terms of the financing provider.

All prices listed on our website are in U.S. dollars unless otherwise stated. We reserve the right to change prices at any time without prior notice. You are responsible for any applicable taxes associated with your purchases.

AxioBionics works with various insurance providers and funding sources to help patients access our products. While we make every effort to assist with insurance verification and prior authorization, we cannot guarantee that any insurance provider will cover our products or services. Patients are ultimately responsible for all costs not covered by insurance.

AxioBionics may communicate with you by email, SMS, or by posting notice on the AxioBionics Service. You agree to receive email from us at the email address you provided to us for informational and customer service-related purposes.

By using the AxioBionics Service or providing personal information to us, you agree that we may communicate with you electronically regarding security, privacy, and administrative issues relating to your use of the AxioBionics Service.

All content on this website and the AxioBionics Service, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of AxioBionics or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. The AxioBionics name, logo, Wearable Therapy™, BioSleeve™, BioBelt™, and TripleFlex™ are trademarks of AxioBionics, LLC.

You agree to use the AxioBionics Service only for its intended purpose. You must use the AxioBionics Service in compliance with all privacy, data protection, intellectual property, and other applicable laws. The following uses are prohibited. You may not:

• Aggregate, copy, or duplicate any AxioBionics content;
• Remove, disable, damage, circumvent, or otherwise interfere with the security of the AxioBionics Service;
• Interfere or attempt to interfere with the proper working of the AxioBionics Service;
• Gain unauthorized access to the AxioBionics Service or computers linked to the AxioBionics Service;
• Attempt to reverse engineer, or reverse engineer the AxioBionics Service;
• Use automated systems (bots, scrapers, etc.) to access the AxioBionics Service without prior written consent;
• Use the AxioBionics Service in an illegal way or to commit an illegal act.

We reserve the right to suspend or terminate your account and prevent access to the AxioBionics Service for any reason, at our discretion. We reserve the right to refuse to provide the AxioBionics Service to you in the future. You are responsible for any claims, fees, fines, penalties, and other liability incurred by us or others caused by or arising out of your breach of these Terms and your use of the AxioBionics Service.

We may change, suspend, or discontinue any aspect of the AxioBionics Service at any time, including hours of operation or availability of the AxioBionics Service or any feature, without notice or liability.

YOUR USE OF THE AXIOBIONICS SERVICE IS AT YOUR SOLE RISK, AND THE AXIOBIONICS SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. AXIOBIONICS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AXIOBIONICS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE AXIOBIONICS SERVICE.

You agree to defend, indemnify, and hold harmless AxioBionics, its officers, directors, employees, agents, and affiliates from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, arising from your use of the AxioBionics Service or your breach of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in the State of Michigan.
